Affiliate will lead internet traffic to the COMPANY\u2019s website and solicit orders for its products.<\/p><h3><strong>Description of Services:<\/strong><\/h3><p>Beginning on the date of signature of this agreement, Affiliate will provide the following services (collectively, the \u201cServices\u201d):<\/p><ul><li>Marketing and promotion of Company\u2019s website and social media platforms.<\/li><li>Drafting of health and wellness-related articles, posters, or short videos for dissemination online.<\/li><li>Other creative services to drive traffic to Company\u2019s online presence.<\/li><\/ul><p><strong>Performance of Services:<\/strong> \u9644\u5c6c\u516c\u53f8\u57f7\u884c\u670d\u52d9\u7684\u65b9\u5f0f\u548c\u5177\u9ad4\u5de5\u4f5c\u6642\u9593\u61c9\u7531\u9644\u5c6c\u516c\u53f8\u6c7a\u5b9a\u3002 \u516c\u53f8\u5c07\u4f9d\u9760\u9644\u5c6c\u516c\u53f8\u5728\u5408\u7406\u9700\u8981\u7684\u6642\u9593\u5167\u5de5\u4f5c\uff0c\u4ee5\u5c65\u884c\u9644\u5c6c\u516c\u53f8\u5728\u672c\u5354\u8b70\u4e0b\u7684\u7fa9\u52d9\u3002<\/p><p><strong>Commission Payments:<\/strong> COMPANY will make commission payments to Affiliate based on the following:<\/p><ul><li>Twenty percent (20%) of gross sales of health and wellness products sold from direct sales.<\/li><li>Five percent (5%) from the sales of immediate downline and the third-level downlines.<\/li><\/ul><p><strong>Right to Inspect:<\/strong> Affiliate shall have the right to inspect COMPANY\u2019s records for the limited purpose of verifying the calculation of the commission payments.<\/p><p><strong>Death:<\/strong> If Affiliate dies during the term of this Agreement, Affiliate shall be entitled to payments or partial commission payments for the period ending with the date of Affiliate\u2019s death.<\/p><p><strong>Expense Reimbursement:<\/strong> Affiliates shall pay all \u201cout-of-pocket\u201d expenses and shall not be entitled to reimbursement from the COMPANY.<\/p><p><strong>Term\/Termination:<\/strong> \u672c\u5354\u8b70\u5c07\u5728\u9644\u5c6c\u516c\u53f8\u5b8c\u6210\u672c\u5354\u8b70\u8981\u6c42\u7684\u670d\u52d9\u5f8c\u81ea\u52d5\u7d42\u6b62\u3002<\/p><p><strong>Relationship of Parties:<\/strong> Affiliate is an independent contractor with respect to COMPANY, and not an employee of COMPANY.<\/p><p><strong>Mediation:<\/strong> If a dispute arises between the Parties, they shall first proceed in good faith to submit the matter to mediation.<\/p><p><strong>Arbitration:<\/strong> If mediation is unsuccessful, any controversy or claim shall be submitted exclusively to final and binding arbitration.<\/p><p><strong>Employees:<\/strong> \u6839\u64da\u672c\u5354\u8b70\u70ba\u516c\u53f8\u63d0\u4f9b\u670d\u52d9\u7684\u9644\u5c6c\u516c\u53f8\u54e1\u5de5\uff08\u5982\u679c\u6709\uff09\u4e5f\u61c9\u53d7\u672c\u5354\u8b70\u689d\u6b3e\u7684\u7d04\u675f\u3002<\/p><p><strong>Confidentiality:<\/strong> Affiliate agrees to maintain the confidentiality of COMPANY\u2019s proprietary information.<\/p><p><strong>Entire Agreement:<\/strong> This Agreement contains the entire agreement of the parties and supersedes any prior written or oral agreements.<\/p><p><strong>Amendment:<\/strong> \u5982\u679c\u4fee\u6539\u4ee5\u66f8\u9762\u5f62\u5f0f\u4f5c\u51fa\u4e26\u7531\u96d9\u65b9\u7c3d\u7f72\uff0c\u5247\u672c\u5354\u8b70\u53ef\u4ee5\u4fee\u6539\u6216\u4fee\u6b63\u3002<\/p><p><strong>Severability:<\/strong> If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.<\/p><p><strong>Waiver of Contractual Right:<\/strong> The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver.<\/p><p><strong>Applicable Law:<\/strong> This Agreement shall be governed by the laws of the State of Maryland (where the COMPANY is located, or the State of Wyoming (where the COMPANY is registered), or\u00a0 United States District Court for the District of Maryland or the District of Wyoming are the exclusive venues for litigation arising from this Agreement.<\/p><p><strong>Signatures:<\/strong> This Agreement is considered legally signed after checking the\u00a0 \u201cAccept the Affiliate Agreement\u201d at <a href=\"https:\/\/we-r-health.com\/cn\/register\/\">https:\/\/we-r-health.com\/register<\/a> page by the Affiliate applicant.
